Terms of Service

1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you and Just Breathe Now LLC, a New York limited liability company doing business as JBN Global ("JBN Global," "we," "us," or "our"). They govern your use of jbnglobal.co, the Whole-Life Assessment, the client portal, and all coaching and consulting services we offer (together, the "Platform" and the "Services"). By creating an account, completing the Whole-Life Assessment, booking, or using the Services, you agree to these Terms and to our Platform Privacy Policy. If you do not agree, do not use the Platform.

2. Non-Clinical Services

2.1 What we provide

JBN Global is an online, non-clinical coaching and consulting platform. Our Services provide structured instruction, advice, support, encouragement, information, accountability, and practical planning across six Pathways: Emotional Health, Relationships, Finances, Direction & Purpose, Business Growth, and Career & Leadership.

2.2 What we do not provide

JBN Global and the providers working through the Platform do not provide medical care, diagnosis, treatment, psychotherapy, clinical counseling as defined by state law, trauma processing, substance-use treatment, medication advice, crisis intervention, legal advice or representation, tax preparation or advice on a specific tax position, credit repair, debt settlement, or investment, securities, insurance, or fiduciary financial advice. The Services are not a substitute for care or advice from a licensed medical, mental-health, legal, tax, or financial professional.

2.3 Licensed JBN Counselors

Some providers, called JBN Counselors, hold an active mental-health license. At JBN Global, that license is a credential and safety requirement only. JBN Counselors provide the same non-clinical Services as other providers, and working with one does not mean you are receiving therapy or clinical care. JBN Global is not your mental-health provider.

2.4 The Whole-Life Assessment

The Whole-Life Assessment and any JBN score are non-diagnostic planning tools. They do not measure, diagnose, or predict any health condition, and you should not rely on them for any clinical or medical decision.

2.5 Therapist directory

If we show you our therapist directory, we provide it for information only. We verify each listed clinician's license at the original source on the date shown, but we do not recommend, endorse, rank, or vouch for any clinician, we are not a party to any relationship you form with one, and we are not responsible for any care they provide.

2.6 Your acknowledgment

Before your first session, you will be asked to sign a non-clinical disclosure. In some states, you will also receive a state-specific disclosure. You agree to read these disclosures and to raise any question before your first session.

3. Safety

3.1 Not an emergency service

JBN Global is not an emergency or crisis service and does not monitor messages in real time. If you are in crisis in the United States, call or text 988. In an emergency, call 911 or go to the nearest emergency department.

3.2 When sessions pause

If you indicate immediate danger, risk of harm to yourself or others, or a need that is outside our non-clinical scope, your provider will pause the coaching work, share appropriate resources, and notify JBN Global's Safety Lead. The Safety Lead decides in writing whether your Services continue, pause, or close. While your Services are paused for safety reasons, billing and session credits are paused, and unused credits are preserved or refunded as described in Section 8.

3.3 Limits of confidentiality

We may share the minimum information necessary to protect safety or comply with a legal reporting obligation, as described in our Privacy Policy.

4. Eligibility and Your Location

4.1 Eligibility

You must be at least 18 years old, located in the United States, and able to enter into a binding contract. You may use the Services only for yourself.

4.2 Your state determines your options

Which Pathways and providers are available to you, the disclosures you receive, and the crisis resources you are given depend on the U.S. state where you are physically located during each session. Some Pathways may be available only with certain provider types, or may not yet be available, in some states.

4.3 Duty to tell us if you move

You agree to give us accurate location information and to tell us before your next session if you move or will attend sessions from a different state for more than a brief period. We may need to reassign your provider or adjust your Services. If no eligible provider is available in your state, we will not match you; we may offer a waitlist and a refund or credit of any unused prepaid amount.

5. Accounts and Acceptable Use

You agree to keep your login credentials secure, give us accurate information, and notify us promptly of any unauthorized use of your account. You agree not to:

• Use the Platform for anyone other than yourself or share access with others
• Record sessions without your provider's and JBN Global's written consent
• Upload medical records, diagnoses, treatment notes, prescriptions, or health-insurance information
• Harass, threaten, or behave abusively toward providers or staff
• Seek to engage a provider outside the Platform for JBN Global services during your engagement
• Misuse, copy, scrape, reverse engineer, or interfere with the Platform
• Use the Platform for any unlawful purpose

We may suspend or close your account if you violate these Terms or if continuing the Services would be unsafe.

6. Providers

6.1 Independent providers

JBN Coaches, JBN Strategists, and JBN Counselors are independent contractors, not JBN Global employees. Each provider is credential-verified, completes JBN Certification, carries professional liability insurance, and is cleared for specific Pathways and states before being matched with clients.

6.2 Matching

We match you with providers based on your Whole-Life Assessment, your goals, your state, and provider availability and fit. We do not guarantee a specific provider.

6.3 Coordination

If you have more than one provider, a Lead Strategist owns your roadmap and coordinates among them. You agree that your providers may share the minimum information necessary to coordinate your plan through the Platform.

6.4 Concerns

If you have a concern about a provider, contact us at the address in Section 15. We take every concern seriously and will respond promptly.

7. Programs, Fees, and Payment

7.1 Programs

Current programs, which may include the Strategy Session, Specialized Support (single sessions or session blocks), and the Full Roadmap, are described on the Platform at the time of purchase, including what is included, session length, and price. Prices may change, but a change will not affect a program you have already purchased.

7.2 Payment

You authorize us and our payment processor to charge the payment method you provide. Where we offer a payment plan, it will be described at checkout, and unless stated otherwise it carries no surcharge.

7.3 No insurance billing

Our Services are not healthcare and are not billed to, or reimbursable by, health insurance. We do not provide superbills.

7.4 Founding and promotional rates

Founding or promotional rates are available only as stated at checkout and only while spots remain. Any request to share a reflection on your experience is voluntary and is never a condition of receiving Services.

8. Scheduling, Cancellations, Satisfaction, and Refunds

8.1 Scheduling

Sessions are scheduled through the Platform and delivered online.

8.2 Cancellations

You may reschedule or cancel a session without charge with at least 24 hours' notice. Late cancellations and missed sessions may be counted as used, as stated at checkout. If your provider cancels, we will reschedule at no cost to you.

8.3 Satisfaction Policy

If after your first session you feel your provider match is not right, tell us and we will either find you a better-matched provider or credit your payment toward a different program. No forms are required.

8.4 Refunds

Unused prepaid sessions may be refunded or credited as stated at checkout. If we cannot serve you because no eligible provider is available in your state, or if your Services are closed for safety reasons, we will refund or credit any unused prepaid amount. Refunds are issued to the original payment method.

8.5 Expiration

Session blocks and programs must be used within the period stated at checkout, unless your Services were paused for safety reasons, in which case the period is extended.

9. Intellectual Property

The Platform, the Whole-Life Assessment and its scoring methods, the Six Pathways framework, roadmap templates, guides, worksheets, and all JBN Global content, trademarks, and branding are owned by JBN Global or its licensors. We grant you a limited, personal, non-transferable license to use materials provided to you for your own non-commercial use while you are a client. You may not reproduce, distribute, sell, or create derivative works from them. You keep ownership of the content you submit, and you grant us a license to use it to provide the Services and as described in our Privacy Policy.

10. No Guarantee of Outcomes

Coaching and consulting outcomes depend on many factors, including your own effort and circumstances. JBN Global does not guarantee any particular result, including any career, business, financial, relationship, or personal outcome. Testimonials reflect individual experiences and are not a promise of results.

11. Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, JBN GLOBAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE. NOTHING IN THESE TERMS LIMITS ANY RIGHT YOU HAVE UNDER CONSUMER-PROTECTION LAW THAT CANNOT BE WAIVED.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, JBN GLOBAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, ARISING FROM YOUR USE OF THE PLATFORM OR SERVICES. JBN GLOBAL IS NOT RESPONSIBLE FOR CARE OR ADVICE PROVIDED BY ANY CLINICIAN OR PROFESSIONAL YOU CONTACT THROUGH THE DIRECTORY OR OTHERWISE OUTSIDE THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID JBN GLOBAL IN THE TWELVE MONTHS BEFORE THE CLAIM. THESE LIMITS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

13. Indemnification

You agree to indemnify JBN Global against third-party claims arising from your violation of These Terms or misuse of the Platform, to the extent permitted by law.

14. Disputes and Governing Law

14.1 Informal resolution first

Before filing any claim, you agree to contact us at the address in Section 15 and give us 30 days to try to resolve it informally.

14.2 Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Except where your state's law gives you the right to bring a claim where you live, any dispute will be resolved in the state or federal courts located in the State of New York. Either party may bring an individual claim in small-claims court where it qualifies.

14.3 Termination

You may close your account at any time. We may suspend or end your access for violation of these Terms, for safety reasons, or if we stop offering Services in your state. Sections 2, 3.3, 9, 10, 11, 12, 13, and 14 survive termination.

14.4 Changes

We may update these Terms. We will notify you of material changes before they take effect. Continuing to use the Services after the effective date means you accept the updated Terms. Changes do not apply to programs already purchased without your consent.

14.5 General

These Terms and our Privacy Policy are the entire agreement between you and JBN Global about the Platform. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor.
